Welcome to CropSense, operated by CropSense AI (also known as CropSense Agri-Solutions & Services) in collaboration with CipherSense AI Technologies Limited ("CropSense", "we", "us"). These Terms of Use ("Terms") govern your access to and use of the CropSense applications and websites (cropsense.africa and its subdomains), CropSense Advisory on WhatsApp, YieldRank™, YieldSecure™, YieldPay™, the CropSense enterprise portals and Developer API, and related services and goods (collectively, the "Services").
1. Acceptance of Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
2. Changes to Terms
CropSense may modify these Terms from time to time. If we make material changes, we will notify you by email, by WhatsApp message, through our website, or by presenting you with updated Terms to accept. Continued use of the Services after the updated Terms take effect means you accept them.
3. Access and Use of Services
3.1 Eligibility
You must be at least 18 years old, or the age of legal majority in your jurisdiction, and have the capacity to enter into binding agreements.
3.2 Account Registration
If you create an account, including by signing in with Google, you agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update your account information
- Keep your password and sign-in credentials secure
- Notify us immediately of any unauthorized use of your account
- Accept responsibility for all activity under your account
3.3 Permitted Use
The Services are provided for your agricultural, operational, financial and program management purposes. Your use must comply with applicable law.
3.4 Prohibited Conduct
You agree not to:
- Violate any applicable national, state, local, or international law
- Engage in conduct that restricts or inhibits anyone's use or enjoyment of the Services
- Transmit advertising or unsolicited messages without our prior written consent
- Impersonate CropSense, our employees, or other users
- Access the Services by automated means, such as bots or scrapers, other than through the Developer API in accordance with its documentation and your credentials
- Submit information about another person without the lawful basis required to share it
- Introduce viruses, malware, or other harmful code
- Attempt unauthorized access to, or disrupt, the Services or their infrastructure
4. CropSense Advisory
4.1 Using Advisory on WhatsApp
CropSense Advisory is delivered through WhatsApp, which is operated by Meta. Your use of WhatsApp is also subject to WhatsApp's own terms and privacy policy, and your mobile network operator's data charges may apply. You can ask questions before registering a farm; registering your farm lets CropSense personalize advice to your field.
4.2 Advice Is Guidance Only
CropSense Advisory uses artificial intelligence, together with satellite, weather and soil data, to provide farm advice and alerts. Advice and alerts are general guidance based on the information available to us; they are not a substitute for a qualified agronomist, extension officer or veterinarian. AI responses and photo diagnoses can be incomplete or wrong. You remain responsible for your farming decisions, including following product labels, local regulations and safety instructions when using fertilizers, pesticides and other inputs.
4.3 Alerts
If you register a farm, CropSense may send you proactive WhatsApp alerts about weather, pests, crop stress and timing. You can stop alerts at any time by replying STOP to CropSense Advisory on WhatsApp.
5. Institutional Accounts
This Section 5 applies in addition to Section 3 wherever the Services are used by a bank, digital lender, microfinance institution, insurer or reinsurer, cooperative, agribusiness aggregator or outgrower scheme, NGO, government agency, or other organization ("Institution"), including through the Financial Institution Enterprise Portal, the YieldSecure™ portal, YieldPay™, the Developer API (including the YieldRank Integration API), or any other institutional account.
5.1 Institutional Accounts and Authorized Users
The Institution, not any individual employee or agent, is the contracting party and account holder. The Institution is responsible for all activity under its account, including by the credit officers, underwriters, claims and risk teams, portfolio and program managers, field agents, auditors, and other individuals it authorizes to access the Services ("Authorized Users"). The Institution represents that it has the authority to bind its Authorized Users to these Terms and is responsible for their compliance with them.
5.2 Team Roles and Permissions
The Institution is responsible for designating administrators, assigning Authorized Users to appropriate roles and permission levels (including branch, portfolio, program or committee-level access), and promptly revoking access for individuals who no longer require it, including when they leave the Institution. CropSense is not responsible for actions taken by an Authorized User whose access the Institution failed to revoke in a timely manner.
5.3 API Access and Credentials
Institutions accessing the Developer API must authenticate using the OAuth2 tokens or scoped API keys issued to them. The Institution must keep these credentials confidential, must not share them outside its Authorized Users, and is responsible for all requests made using its credentials. Sandbox credentials, rate limits, and batch limits are documented in the Developer API reference and must be observed. CropSense may throttle, rate-limit, or suspend API access that it reasonably believes is abusive, in error, or places excessive load on the Services.
5.4 Data Submitted by Institutions
Where an Institution submits information about farmers, applicants, policyholders, payment recipients or program participants, including for YieldRank™ scoring, YieldSecure™ policies, YieldPay™ payments or a farmer registry, the Institution represents and warrants that it has a lawful basis, including any necessary consent, to submit that information, and that it has given the individuals concerned any notice required by applicable law. The Institution is responsible for the accuracy of the data it submits. CropSense processes such data on the Institution's instructions, as described in Sections 3.7 and 10 of the Privacy Policy.
5.5 No Lending, Underwriting or Insurance by CropSense
CropSense provides data, scores, triggers, payout calculations and risk assessments as decision-support infrastructure. CropSense does not originate loans, extend credit, underwrite or issue insurance, or settle claims. A YieldRank™ score is not a recommendation to lend, and a YieldSecure™ trigger or payout calculation is not a claims decision. The Institution retains sole responsibility for its lending, underwriting, insurance and claims decisions, and for its own compliance with the lending, insurance, credit reporting, consumer protection, and data protection laws that apply to its business.
5.6 YieldPay™ Payments
YieldPay™ does not hold funds and is not a bank or payment service provider. It facilitates payments by creating payment instructions from verified farm events or institutional decisions and routing them to the bank, mobile money operator or other payment partner configured by the Institution, which moves the money. The Institution is responsible for funding its payments, approving payment instructions, the accuracy of recipient and payment details, its agreements with its payment partners, and its own compliance with applicable payment, anti-money laundering and know-your-customer requirements. CropSense is not responsible for delays, failures or errors caused by a payment partner.
5.7 Suspension and Termination of Institutional Access
In addition to the rights described in Section 14 (Termination), CropSense may suspend or terminate an Institution's account, or an individual Authorized User's access, for breach of this Section 5, misuse of the Services, or as required by law, without prejudice to any other rights CropSense may have.
6. Data, Models and Accuracy
The Services rely on satellite imagery, weather data, soil data, farm records and AI models, some of which come from third parties. Forecasts, scores, alerts, triggers and other outputs are estimates, not guarantees. Known limitations include the resolution of satellite imagery, which reduces accuracy on very small or intercropped plots, gaps or delays in third-party data, and the quality of the information submitted to us. Parametric insurance triggers follow an agreed index, so a payout may differ from the actual loss on a particular farm (basis risk). You should use outputs from the Services alongside your own judgment and other relevant information.
7. Billing and Subscription
7.1 Plans and Pricing
CropSense offers multiple plans, including Free (also called Forever Free), Growth, Pro AgroBiz, and Enterprise, as described on our Pricing page, together with a donor-funded Sponsorship Program for smallholder farmers. Enterprise pricing, including for the Financial Institution Enterprise Portal, YieldRank™, YieldSecure™, YieldPay™ and the Developer API, is customized and set out in a separate order form, proposal, or partner agreement, which forms part of these Terms for that customer.
7.2 Billing Cycles and Payment
Paid plans are billed monthly or annually, as selected at signup. You authorize CropSense and its third-party payment processors to charge your chosen payment method for all fees due, including recurring subscription fees and any additional-hectare charges. We support local currency payments in multiple African countries, including Naira (NGN), Kenyan Shilling (KES), and Ghana Cedi (GHS), among others. Payment processing is handled by third-party payment processors as described in our Privacy Policy; CropSense does not store your full payment card details.
7.3 Overage and Add-On Charges
If your monitored hectares exceed your plan's included allowance, additional-hectare charges apply at the rate published for your plan on the Pricing page, and are billed in the same cycle as your subscription fee.
7.4 Upgrades, Downgrades, and Cancellation
You may upgrade your plan at any time; upgrades take effect immediately and you will be charged the prorated difference for the remainder of the current billing period. Downgrades take effect at the start of your next billing cycle, and you keep your current plan's features until then. You may cancel your subscription at any time; cancellation stops future billing but does not entitle you to a refund of fees already paid for the current billing period, except as required by law or expressly stated otherwise.
7.5 Free Plan and Sponsorship Program
The Free plan is provided at no cost, subject to its stated feature and hectare limits, and may be changed or discontinued on reasonable notice. The CropSense Sponsorship Program is a separate, donor-funded initiative providing eligible smallholder farmers with full paid-tier access at no cost to the farmer; eligibility and continued access are subject to the program's own terms and available funding. If you are sponsored, your name and basic profile details are shared with your sponsor, as described in our Privacy Policy.
7.6 Discounts and Special Access
Discounts and special access offers, including the NGO, non-profit, and academic institution discount described on the Pricing page, the free one-year subscription for university students and researchers, and special access plans for extension networks described on our Partner with Us page, are subject to eligibility verification and may be revoked if CropSense determines that the eligibility criteria are no longer met.
7.7 Taxes and No Hidden Fees
Fees are exclusive of applicable taxes, levies, or duties unless stated otherwise, which you are responsible for where applicable. Other than the fees described in your plan or order form, CropSense does not charge setup fees or other hidden costs; Enterprise implementation costs, if any, will be disclosed in your proposal or order form before you incur them.
8. Intellectual Property Rights
8.1 CropSense Content
All content, features, and functionality of the Services, including text, graphics, logos, icons, images, audio, video, data compilations, models, and software, are the exclusive property of CropSense or its licensors and are protected by applicable intellectual property laws. YieldRank™, YieldSecure™ and YieldPay™ are trademarks of CipherSense AI.
8.2 Your Data
You retain ownership of the data you submit. By submitting data, you grant CropSense a worldwide, non-exclusive, royalty-free licence to host, process and use it to provide the Services and to develop, train and improve our models, as described in our Privacy Policy.
8.3 Outputs
Scores, reports, alerts, triggers and other outputs that the Services generate for you may be used for your own agricultural or internal business purposes. CropSense retains all rights in the models, methods and underlying data used to produce them. Institutions may not resell or redistribute outputs to third parties except as permitted in their order form or partner agreement.
9. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without warranties of any kind. To the fullest extent permitted by law, CropSense disclaims all warranties of merchantability, non-infringement, and fitness for a particular purpose, and does not warrant that the Services, including AI-generated advice and other outputs, will be uninterrupted, timely, secure, accurate or error-free.
10. Limitation of Liability
To the fullest extent permitted by law, CropSense, its affiliates, and their licensors, service providers, employees, agents, officers, and directors will not be liable for any indirect, special, incidental, consequential, or punitive damages, or for loss of crops, profits, revenue or data, arising from your use of or inability to use the Services. To the fullest extent permitted by law, CropSense's total liability for any claim relating to the Services is limited to the fees you paid to CropSense for the Services in the twelve (12) months before the event giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to defend and indemnify CropSense, its affiliates, and related parties against claims, liabilities, damages, costs, and expenses arising from your violation of these Terms, your misuse of the Services, or, for Institutions, data submitted without the lawful basis required under Section 5.4.
12. Third-Party Services
The Services work with third-party services, including WhatsApp, Google Sign-In, payment processors, payment partners and satellite and weather data providers. Your use of those services may be subject to their own terms, and CropSense is not responsible for their availability or performance.
13. Governing Law and Jurisdiction
These Terms and your use of the Services are governed by the laws of the Federal Republic of Nigeria. The parties will first try to settle any dispute amicably, and failing that, the dispute will be resolved by arbitration under Nigeria's Arbitration and Mediation Act, 2023.
14. Termination
We may suspend or terminate your access to all or part of the Services if you breach these Terms, misuse the Services, or where required by law, and we may discontinue free features on reasonable notice. Where an Institution has an order form or partner agreement, termination is governed by that agreement. You may stop using the Services or request account deletion at any time.
15. Miscellaneous
15.1 Entire Agreement
These Terms of Use and our Privacy Policy, together with any order form or partner agreement for Institutions, constitute the entire agreement between you and CropSense with respect to the Services. If an order form or partner agreement conflicts with these Terms, the order form or partner agreement prevails.
15.2 Waiver and Severability
Not enforcing a right does not waive it. If any provision is found invalid, it will be removed and the remaining provisions will stay enforceable.
15.3 Assignment
You may not assign these Terms without our written consent. CropSense may assign these Terms, including in connection with a merger, acquisition or sale of assets.
