Welcome to CropSense (operated by CropSense Agri-Solutions & Services in collaboration with CipherSense AI Technologies Limited). These Terms of Use ("Terms") govern your access to and use of the CropSense applications and websites (cropsense.africa and its subdomains), and related services and goods (collectively, the "Services").
1. Acceptance of Terms
By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use our Services.
2. Changes of Terms
CropSense reserves the right to modify these Terms at its discretion. If we make material changes to these Terms, we will notify you by email, through our website, or by presenting you with a new set of Terms to accept. Continued use following updates signals your acceptance.
3. Access and Use of Services
3.1 Eligibility
Users must be at least 18 years old or meet their jurisdiction's age of legal majority, with capacity to enter binding agreements.
3.2 Account Registration
Users agree to:
- Provide accurate, current, and complete information during registration
- Maintain and promptly update account information
- Maintain the security of your password and identification
- Notify immediately of unauthorized account use
- Accept responsibility for all account activities
3.3 Permitted Use
The Services are provided for your agricultural and operational management purposes. Use must comply with applicable law.
3.4 Prohibited Conduct
Users agree not to:
- Violate applicable national, state, local, or international law
- Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Services
- Transmit advertising without prior written consent
- Impersonate CropSense, employees, or other users
- Use automated devices to access the Services
- Introduce viruses, malware, or harmful code
- Attempt unauthorized access or disrupt service infrastructure
4. Institutional and Financial Institution Portal Accounts
This Section 4 applies in addition to Section 3 wherever CropSense is used by a bank, fintech or digital lender, microfinance institution or cooperative, agribusiness aggregator, NGO, government agency, or other organization ("Institution") through the Financial Institution Enterprise Portal, the YieldRank Integration API, or any other institutional account.
4.1 Institutional Accounts and Authorized Users
The Institution, not any individual employee or agent, is the contracting party and account holder. The Institution is responsible for all activity conducted under its account, including by the credit officers, risk teams, portfolio managers, auditors, and other individuals it authorizes to access the Services ("Authorized Users"). The Institution represents that it has the authority to bind its Authorized Users to these Terms and is responsible for their compliance with them.
4.2 Team Roles and Permissions
The Institution is responsible for designating administrators, assigning Authorized Users to appropriate roles and permission levels (including branch, portfolio, or committee-level access), and promptly revoking access for individuals who no longer require it, including upon their departure from the Institution. CropSense is not responsible for actions taken by an Authorized User whose access the Institution failed to revoke in a timely manner.
4.3 API Access and Credentials
Institutions accessing the YieldRank Integration API must authenticate using OAuth2 tokens or scoped API keys issued to them. The Institution must keep these credentials confidential, must not share them outside its Authorized Users, and is responsible for all requests made using its credentials. Sandbox credentials, rate limits, and batch limits are documented in the Developer API reference and must be observed; CropSense may throttle, rate-limit, or suspend API access that it reasonably believes is abusive, in error, or places excessive load on the Services.
4.4 Data Submitted for YieldRank Scoring
Where an Institution submits an applicant's information for scoring, including through bulk applicant scoring or the YieldRank Integration API, the Institution represents and warrants that it has a lawful basis, including any necessary consent, to submit that information, and that it has provided the applicant with any notice required by applicable law. The Institution is responsible for the accuracy of data it submits. CropSense processes such data on the Institution's instructions, as described in Section 8.3 of the Privacy Policy.
4.5 No Lending or Underwriting by CropSense
CropSense provides data, scores, and risk assessments as decision-support infrastructure. CropSense does not originate loans, extend credit, or make underwriting decisions, and a YieldRank score is not a recommendation to lend. The Institution retains sole responsibility for its lending, underwriting, and credit decisions, and for its own compliance with lending, credit reporting, consumer protection, and data protection laws applicable to its business.
4.6 Suspension and Termination of Institutional Access
In addition to the rights described in Section 11 (Termination), CropSense may suspend or terminate an Institution's account, or an individual Authorized User's access, for breach of this Section 4, misuse of the Portal or API, or as required by law, without prejudice to any other rights CropSense may have.
5. Billing and Subscription
5.1 Plans and Pricing
CropSense offers multiple subscription plans, including Forever Free, Growth, Pro AgroBiz, and Enterprise, as described on our Pricing page, together with a donor-funded Sponsorship Program for smallholder farmers. Enterprise pricing, including for the Financial Institution Enterprise Portal and YieldRank Integration API, is customized and set out in a separate order form, proposal, or partner agreement, which forms part of these Terms for that customer.
5.2 Billing Cycles and Payment
Paid plans are billed monthly or annually, as selected at signup. You authorize CropSense and its third-party payment processors to charge your chosen payment method for all fees due, including recurring subscription fees and any additional-hectare charges. We support local currency payments in multiple African countries, including Naira (NGN), Kenyan Shilling (KES), and Ghana Cedi (GHS), among others. Payment processing is handled by third-party payment processors as described in our Privacy Policy; CropSense does not store your full payment card details.
5.3 Overage and Add-On Charges
If your monitored hectares exceed your plan's included allowance, additional-hectare charges apply at the rate published for your plan on the Pricing page, and are billed in the same cycle as your subscription fee.
5.4 Upgrades, Downgrades, and Cancellation
You may upgrade your plan at any time; upgrades take effect immediately and you will be charged the prorated difference for the remainder of the current billing period. Downgrades take effect at the start of your next billing cycle, and you retain access to your current plan's features until then. You may cancel your subscription at any time; cancellation stops future billing but does not entitle you to a refund of fees already paid for the current billing period, except as required by law or expressly stated otherwise.
5.5 Free Plans and Sponsorship Program
The Forever Free plan is provided at no cost, subject to its stated feature and hectare limits, and may be changed or discontinued on reasonable notice. The CropSense Sponsorship Program is a separate, donor-funded initiative providing eligible smallholder farmers with full paid-tier access at no cost to the farmer; eligibility and continued access are subject to the program's own terms and available funding.
5.6 Discounts
Discounts, including the NGO, non-profit, and academic institution discount described on the Pricing page, are subject to eligibility verification and may be revoked if CropSense determines that the eligibility criteria are no longer met.
5.7 Taxes and No Hidden Fees
Fees are exclusive of applicable taxes, levies, or duties unless stated otherwise, which you are responsible for where applicable. Other than the fees described in your plan or order form, CropSense does not charge setup fees or other hidden costs; Enterprise implementation costs, if any, will be disclosed in your proposal or order form before you incur them.
6. Intellectual Property Rights
6.1 CropSense Content
All content, features, and functionality on the Services, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of CropSense and are protected by applicable intellectual property laws.
6.2 Your Data
Users retain ownership of submitted data. By submitting your data, you grant CropSense a worldwide, non-exclusive, royalty-free, transferable license for service provision and improvement purposes.
7. Disclaimer of Warranties
The Services are provided on an "as is" and "as available" basis, without any warranties of any kind. CropSense disclaims all warranties of merchantability, non-infringement, and fitness for a particular purpose. The company does not warrant uninterrupted, timely, secure, or error-free service.
8. Limitation of Liability
In no event shall CropSense, its affiliates, or their licensors, service providers, employees, agents, officers, or directors be liable for damages of any kind arising from service use or inability to use, including direct, indirect, special, incidental, consequential, or punitive damages.
9. Indemnification
Users agree to defend and indemnify CropSense, its affiliates, and related parties from claims, liabilities, damages, costs, and expenses arising from user violations or service misuse.
10. Governing Law and Jurisdiction
These Terms and your use of the Services shall be governed by and construed in accordance with the laws of The Federal Republic of Nigeria. Disputes undergo amicable settlement attempts before arbitration under Nigeria's Arbitration and Conciliation Act.
11. Termination
We may terminate or suspend your access to all or part of the Services immediately, without prior notice or liability, for any reason whatsoever. Users may discontinue use or request account deletion at any time.
12. Miscellaneous
12.1 Entire Agreement
These Terms of Use and our Privacy Policy constitute the sole and entire agreement between you and CropSense with respect to the Services.
12.2 Waiver and Severability
Non-assertion of rights doesn't constitute waiver. Invalid provisions are eliminated while others remain enforceable.
12.3 Assignment
Users cannot assign these Terms without written consent; CropSense may freely assign.
